Telenor Buys Swedish Broadband Provider Bahnhof for US$630m

Telenor will acquire a controlling stake in Bahnhof for SEK6.1bn (US$630m), making it Sweden’s second-largest fixed broadband provider

Telenor Group has agreed to acquire a controlling stake in Bahnhof, a Swedish broadband provider, in a transaction valuing the company at SEK6.1bn (US$630m), on an enterprise value basis. 

This acquisition will make Telenor Sweden's second-largest fixed broadband provider, as the transaction will increase Telenor’s consumer subscriber market share from approximately 15% to around 27%. However, Bahnhof will continue to operate as a separate brand.

Scale and growth in Sweden

Established in 1994, Bahnhof has built a profitable fixed broadband business in Sweden. The provider serves more than 500,000 consumer customers alongside approximately 15,000 enterprise clients. 

Bahnhof’s assets include proprietary network infrastructure, access to open networks and five colocation data centres. 

Combining these elements with Telenor’s existing fixed and mobile operations in Sweden brings together complementary strengths in fixed broadband, enterprise services and secure infrastructure.

“Over the years, we have built Bahnhof into a customer-focused company with a trusted brand and a clear position in the Swedish market,” says Jon.

“By joining Telenor, we gain the scale to compete more effectively across both existing and new market segments.”

Expanding the Nordic footprint

Telenor states that it is the only telecom operator with significant operations across all four Nordic markets. 

Sweden represents the largest of these national markets by population and has offered Telenor its most substantial growth opportunities to date. This acquisition provides the platform to accelerate that expansion.

Following completion, Bahnhof will continue to operate under its own brand, maintaining its established focus on privacy, security and technical expertise. 

Telenor intends to build upon Bahnhof’s market position while combining the capabilities of both organisations.

Telenor expects the acquisition to deliver significant synergy benefits over time, including through upselling and cross-selling across its broader product portfolio. 

The transaction is projected to increase Telenor’s annual EBITDA progressively during the first four years of ownership, averaging approximately SEK 0.7bn (US$72m) per year, before annual integration costs of roughly SEK 0.1bn (US$10m) over the same four-year period.

Financial details and structured offers

Once completed, subject to regulatory approvals, the transaction will trigger an obligation for Telenor to make a mandatory cash offer to all remaining Bahnhof shareholders.

Bahnhof’s founders, Jon and Andreas, directly and indirectly hold 50.8% of the company's shares and 86% of the voting rights. Telenor has agreed to purchase their shares for SEK 60 (US$6.19) per share. 

Telenor has also agreed to acquire the 6.7% shareholding, corresponding to 1.9% of the votes, held by Öresund Investment for SEK 62 (US$6.40) per share. Öresund Investment is the second-largest shareholder in Bahnhof.

Following the completion of the acquisition of the shares held by the founders and Öresund Investment, Telenor will become the controlling shareholder in Bahnhof. 

The company intends to launch a mandatory cash offer to the remaining shareholders of Bahnhof at SEK 62 (US$6.40) per share within four weeks after completion.

“The board of directors of Bahnhof is positive to the transaction and has permitted Telenor to conduct confirmatory due diligence, which has been a condition for the acquisitions and a potential subsequent mandatory cash offer to all shareholders,” says Jens Nylander, Chair of the board of directors of Bahnhof.

The completion of the acquisition of the shares held by Bahnhof’s founders and Öresund Investment remains conditional upon receiving the necessary regulatory approvals. Telenor expects this process to occur within four to eight months.
