Keppel sells its M1 Singapore subsidiary telecommunications business to Simba Telcom, closing S$1bn in cash from the sale

Keppel has announced that it has entered into a shared purchase agreement to divest its M1 telecommunications business to Simba Telecom for S$1.43bn in cash, subject to post-completion adjustments.

From the agreement, Keppel will receive S$1bn in cash for its 83.9% effective stake in M1, and will retain M1’s ICT business which complements Keppel’s integrated connectivity business.

Why does this agreement benefit Singapore’s telecommunications sector?

This purchase agreement is expected to strengthen Singapore’s telecommunications sector and deliver greater value to consumers by accelerating market consolidation and enabling deeper synergies between two agile, digitally-driven companies.

By integrating M1’s fully cloud-native network with Simba’s disruptive digital-first consumer model, the combined entity is expected to elevate service quality, customer choice and operational efficiency.

Combining their resources and expertise would allow for more efficient investment in network infrastructure, spectrum utilisation and emerging technologies such as 5G standalone, IoT and edge computing. 

The partnership also positions the merged operator to be more nimble in responding to evolving market demands, while supporting Singapore’s ambition to remain a leading hub for digital innovation and connectivity in the region.

Keppel sharpens its focus

The purchase agreement aligns with Keppel’s strategy as an asset-light global asset manager and operator. It will sharpen the company’s focus in its connectivity segment on digital infrastructure.

Simba put forward the strongest bid from among interested parties, and its combination with M1 is expected to create further revenue pools and career opportunities, as they have the least overlap in resources. 

Keppel hopes to complete the proposed transaction over the next few months, subject to regulatory approval by Singapore’s Infocomm Media Development Authority.

He adds: “For Keppel, the divestment of M1’s telco business is the latest step in our transformation, as we simplify our business and advance our strategy and focus as a global asset manager and operator. It is over and above the S$14.4bn non-core portfolio that we have identified for monetisation, and the cash of close to S$1bn to be unlocked can be channelled to growth opportunities aligned with the New Keppel, lower our debt or reward our shareholders. This will not only improve the New Keppel’s ROE but also support the market’s further re-rating of Keppel.”
